1. Introduction and Acceptance

1.1. These Terms of Service ("Terms") govern your access to and use of the HelmTube website, platform, and services (collectively, the "Service"), operated by HelmTube, located in Munich, Bavaria, Germany (referred to as "HelmTube," "we," "us," or "our").

4. Intellectual Property Rights

4.1. Ownership. The Service and all content, data, information, text, graphics, images, maps, road data, databases, software, and other materials available through the Service (collectively, "HelmTube Content") are owned by or licensed to HelmTube and are protected by German and international copyright, database rights, trademark, and other intellectual property laws.

4.2. Database Rights. The compilation, collection, arrangement, and assembly of data on HelmTube constitutes a database protected under the German Copyright Act (Urheberrechtsgesetz) and the EU Database Directive (96/9/EC). HelmTube has made substantial investment in obtaining, verifying, and presenting this data.

4.3. Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial purposes only.

4.4. Restrictions. Except as expressly permitted in these Terms, you may not:

  • (a) Copy, reproduce, distribute, publish, display, perform, or create derivative works from HelmTube Content;
  • (b) Modify, translate, adapt, or reverse engineer any part of the Service;
  • (c) Use HelmTube Content for any commercial purpose without prior written consent;

  • (b) Circumvent, disable, or interfere with any security features of the Service, including features that prevent or restrict access, use, or copying of content;

  • (d) Systematically download, store, or cache HelmTube Content beyond what is necessary for normal use of the Service;

  • (f) Store or archive substantial portions of HelmTube Content beyond reasonable personal use.

5.3. General Prohibitions. You further agree NOT to:

  • (a) Violate any applicable laws, regulations, or third-party rights;
  • (b) Impersonate any person or entity or misrepresent your affiliation;
  • (c) Interfere with or disrupt the Service or servers or networks connected to the Service;
  • (d) Use the Service to transmit malware, viruses, or harmful code;
  • (e) Harass, abuse, or harm other users;
  • (f) Use the Service for any illegal or unauthorized purpose.

6. Permitted Uses and Export Functionality

6.1. Viewing. You may view HelmTube Content through the Service for personal, non-commercial purposes.

6.2. Sharing Links. You may share links to HelmTube pages (such as road articles or map views) on social media platforms, websites, forums, and other online services. We encourage sharing links to HelmTube.

  • (d) GPS coordinates may be exported and used for personal navigation purposes.

6.4. Attribution Requirement. If you reference, cite, or use information from HelmTube on any website, publication, or other medium, you must:

  • (a) Clearly attribute the source as "HelmTube" or "HelmTube.com";
  • (b) Include a hyperlink to the original HelmTube content where technically feasible;
  • (c) Not imply any endorsement or affiliation with HelmTube without written permission.

7. User-Generated Content

7.1. User Content. The Service may allow you to submit, post, or contribute content, including but not limited to YouTube video links, comments, feedback, ratings, and other materials ("User Content").

7.2. License Grant. By submitting User Content, you grant HelmTube a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such User Content in connection with the Service and HelmTube's business operations.

7.3. Representations. You represent and warrant that:

  • (a) You own or have the necessary rights to submit the User Content;
  • (b) The User Content does not infringe any third-party rights;
  • (c) The User Content complies with these Terms and applicable laws.

7.4. Responsibility. You are solely responsible for your User Content. HelmTube does not endorse any User Content and is not liable for any User Content submitted by users.

9. Disclaimer of Warranties

9.1. THE SERVICE AND ALL HELMTUBE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

9.2. HELMTUBE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.

9.3. HELMTUBE DOES NOT WARRANT THAT:

  • (c) The quality of any information obtained through the Service will meet your expectations;
  • (d) Road conditions, routes, or other information reflect current real-world conditions.

9.4. You acknowledge that road information may change and may not reflect current conditions. You use any road information at your own risk and should verify conditions independently.

10. Limitation of Liability

10.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELMTUBE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

10.2. IN NO EVENT SHALL HELMTUBE'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO HELMTUBE, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

10.3. THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF HELMTUBE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.4. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, the above limitations shall apply to the maximum extent permitted by law.

11. Indemnification

11.1. You agree to indemnify, defend, and hold harmless HelmTube and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • (a) Your use of the Service;
  • (b) Your violation of these Terms;
  • (c) Your violation of any third-party rights;
  • (d) Your User Content.

12. Termination

12.1. You may stop using the Service at any time. You may request deletion of your account by contacting us.

12.2. We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms.

12.3. Upon termination:

  • (a) Your license to use the Service immediately terminates;
  • (b) You must cease all use of HelmTube Content;
  • (c) You must delete any HelmTube Content in your possession, except GPS coordinates exported through authorized functionality for personal use.

12.4. Sections 4, 5, 9, 10, 11, 13, and 14 shall survive termination.

13. Governing Law and Dispute Resolution

13.1. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

13.2. For consumers residing in the European Union, mandatory consumer protection laws of your country of residence shall apply to the extent they provide greater protection.

13.3. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Munich, Germany, unless otherwise required by applicable law.

13.4. The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. We are not obligated and generally not willing to participate in dispute resolution proceedings before a consumer arbitration board.

14. General Provisions

14.1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and HelmTube regarding the Service.

14.2. Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3. Waiver. The failure of HelmTube to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4. Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. HelmTube may assign these Terms without restriction.

14.5. No Agency. Nothing in these Terms creates any agency, partnership, or joint venture relationship between you and HelmTube.
